12. Termination of All Work
12.1 Right to Terminate
CreateTheWeb reserves the right to terminate all work and cease providing services to a client at any time, at our sole discretion, with or without cause. Reasons for termination may include, but are not limited to, breaches of these Terms and Conditions, non-payment of fees, inappropriate or unprofessional behaviour, or any other circumstances that we believe may negatively impact our ability to deliver our services effectively.
12.2 Notice of Termination
In the event that we decide to terminate all work and cease providing services to a client, we will provide the client with written notice of our decision, specifying the reasons for termination where appropriate. The notice will be sent via email or another agreed-upon method of communication.
12.3 Consequences of Termination
Upon termination of all work, the client will be responsible for paying any outstanding invoices or fees for services rendered up to the point of termination. CreateTheWeb shall not be liable for any damages or losses resulting from the termination of work, nor shall we be obliged to refund any fees paid by the client, as per Section 5 of these Terms and Conditions.
12.4 Intellectual Property
In the event of termination, any non-exclusive licences granted to the client for the use of our designs, content, and materials will remain in effect, subject to the terms of the original agreement, unless otherwise specified in the notice of termination. We will not be responsible for transferring any intellectual property rights to the client, unless explicitly agreed otherwise in writing.
12.5 Survival of Terms
The termination of all work shall not affect the rights and obligations of the parties that, by their nature, are intended to survive the termination, including but not limited to the provisions relating to intellectual property, indemnification, limitation of liability, and governing law and dispute resolution.
